Terms of Sale
Version 1.0 · September 24, 2026
These terms govern every quote Rova Batteries, Inc. ("Rova") issues and every order Rova accepts. "Buyer" means the organization placing the order. A signed agreement or written quote overrides these terms on anything it covers.

What Rova sells
Rova Batteries designs and supplies rechargeable lithium-ion battery packs for robotics and industrial equipment. A pack is a finished assembly: cells, a battery management system, wiring, connectors, and a housing. Packs are components, sold for integration into a customer's machine.
- Standard packs. Catalog packs built to a fixed specification. See Standard Products.
- Custom packs. Packs engineered to Buyer's specification, envelope, and duty cycle. See Custom Packs.
Rova does not sell loose cells, consumer electronics, or replacement batteries for consumer devices.
Who Rova sells to
Rova sells to organizations, including companies and educational and research institutions. By placing an order, Buyer confirms it is purchasing for an organization and not for personal or household use.
There is no public checkout.
Quotes and orders
- Quotes. A quote states products, quantities, unit prices, currency, payment terms, and an estimated lead time. It is valid for 30 days unless it says otherwise.
- Acceptance. An order exists once Rova issues a written order confirmation. A purchase order alone does not create one.
- Changes. Pricing and lead time are based on the specifications agreed at the time of quotation. Changes requested by Buyer may require revised pricing and/or an extension of lead time. Rova confirms the effect in writing first.
- Declining. Rova may decline or cancel any order before shipment, and refunds anything already paid for the canceled portion.
Pricing, currency, and payment
- Currency. All prices and invoices are in US dollars.
- Excluded. Prices exclude applicable taxes, duties, and other governmental charges. Buyer is responsible for any such charges applicable to the transaction, except taxes imposed on Rova's income. Freight is excluded unless the quote includes it.
- Methods. Credit card, ACH, or wire. Card payments are processed by Stripe.
- Card security. Card details are entered on Stripe's payment page. Rova never receives or stores card numbers, and rovabatteries.com collects no payment information.
- Deposit. Custom and build-to-order packs are 50 percent on order, 50 percent after delivery, unless the quote says otherwise.
- Other invoices. Due on receipt unless credit terms are agreed in writing.
- Testing. Certification and validation testing are not included unless expressly stated and may be quoted separately upon request.
Each order is a one-time charge; Rova sells no subscriptions, service plans, or recurring billing.
Cancellation policy
Send cancellation requests to contact@rovabatteries.com. They take effect when Rova acknowledges them in writing.
- Before order confirmation. No charge.
- After confirmation, before materials are committed. No charge for in-stock packs. For custom and build-to-order, engineering work already done is billable at the quoted rate.
- After cells are procured or production has started. The deposit is not refundable, and Buyer covers committed material and labor at Rova's documented cost, capped at the order value.
- After shipment. Not available. See Returns and refunds.
If Rova can reallocate procured cells to another order, the charge drops accordingly.
Returns and refunds
Rova accepts returns only against a Return Material Authorization (RMA). Buyer requests one by emailing contact@rovabatteries.com with the invoice number, pack model, and serial numbers. Shipments arriving without an RMA number are refused and returned at the sender's cost.
Standard catalog packs. Buyer must request an RMA within 15 days of delivery. The pack must be unused, unmodified, undamaged, in original packaging, with all accessories. Refund is the line price less a 20 percent restocking fee; outbound freight is not refunded and return freight is Buyer's.
Custom and build-to-order packs. Not returnable, except for non-conformance.
Non-conforming or dead on arrival. Buyer must notify Rova within 10 days of delivery, with photographs and serial numbers. Rova will repair, replace, or refund at its option and pays return freight. No restocking fee.
Refunds. Issued to the original payment method within 5 business days of Rova receiving and inspecting the return. Card refunds go back to the same card. Buyer's bank decides when the credit appears.
Returning a pack safely
Buyer must not hand a pack over a parcel counter or ship it as ordinary freight. Please contact Rova first for shipping instructions.
Do not ship a pack that is damaged, swollen, leaking, or unusually warm, or that has been in a fire, in water, or in a vehicle accident. Tell Rova the condition it is in when you ask for instructions. See battery safety.
Warranty
Standard catalog packs carry a 2 year warranty from delivery. Custom packs, including custom sample units, carry a 1 year warranty from delivery. Rova warrants them free from defects in materials and workmanship. Rova also warrants them to conform to the specifications agreed in writing at the time of delivery.
Where Rova determines that a unit is defective under this warranty, Rova repairs or replaces it at Rova's option, at no additional cost.
Excluded: misuse, improper charging or storage, operation outside specified limits, and unauthorized disassembly, modification, or repair. Damage from external causes is also excluded, including but not limited to mishandling, impact, or water intrusion beyond the specified IP rating.
Sample units are supplied for evaluation and testing. They may not have completed all applicable certification or validation testing.
This is Rova's baseline. A quote or a supply agreement may set different terms.
A warranty claim is not a return. Buyer sends claims to contact@rovabatteries.com with the serial number and the operating conditions at failure.
Delivery, title, and risk of loss
Lead times, destinations, and freight are on the Shipping Policy page. Each quote states a delivery term, using Incoterms such as FOB, DAP, or DDP, and that term sets the point at which title and risk of loss pass to Buyer.
Use of the product
Integrating a pack safely is Buyer's responsibility: fusing, charging equipment, thermal management, mounting, enclosure, and the safety case for the finished machine. Rova sells components, and does not warrant fitness for a particular application unless the quote says so.
Rova packs are not sold for life support systems, implantable medical devices, aircraft, spacecraft, or nuclear facilities, except under a separate written agreement.
Compliance and export
Buyer is responsible for complying with the law where it receives, uses, stores, and disposes of the packs.
Rova screens orders against US sanctions and export control rules, and will not ship to a sanctioned country, entity, or individual. Buyer agrees not to re-export a Rova pack in breach of US export law.
Limitation of liability
Rova's total liability arising out of or relating to this transaction or the products supplied shall not exceed the amount paid by Buyer for the affected products. Rova shall not be liable for any indirect, incidental, special, or consequential damages, including lost profit, lost production, downtime, damage to other equipment, or recall costs.
Nothing here limits liability that cannot be limited by law.
Force majeure
Rova is not liable for delay caused by events outside its reasonable control: cell shortages, factory shutdowns, customs and port delays, carrier restrictions on lithium, regulatory change, natural events, and government action. Rova will give a revised date. If the delay passes 60 days, Buyer may cancel the unshipped portion without charge.
Governing law
This transaction is governed by the laws of the State of California, without regard to its conflict of law rules. Any disputes shall be resolved in Alameda County, California. The UN Convention on Contracts for the International Sale of Goods does not apply.
Questions about a charge
Rova charges appear on card statements as ROVA BATTERIES. Buyer should email contact@rovabatteries.com before disputing a charge with its bank, quoting the amount, the date, and the last four digits of the card.
Changes to these terms
These terms are versioned and dated at the top of this page. Each order confirmation names the version that applies to that order, and Rova retains superseded versions.
